 AFFILIATES PROGRAM - TERMS & CONDITIONS This agreement describes the terms and conditions for participation in www.doyourownpr.com’s Affiliates Program. The Affiliates Program applies to the sale of ecourses to www.doyourownpr.com which have been referred by Affiliates to www.doyourownpr.com. Please print a copy of the agreement for your records. Access and use of the site www.doyourownpr.com (hereafter referred to as "the Site"), a wholly owned entity of Divine and Content, is subject to the following Terms and Conditions. AGREEMENT DURATION This agreement will begin upon our acceptance of your affiliate application and will end when terminated by either party. Termination may happen at any time, with or without cause, by giving the other party written notice of termination. MODIFICATION By posting a Change Notice or a new agreement on this site, we may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but are not limited to changes in the scope of available referral fees, ecourse fee schedules, payment procedures and Program rules. If any of the modifications are UNACCEPTABLE TO YOU, your only recourse is to terminate this Agreement. If you CONTINUE PARTICIPATION IN THE PROGRAM following the posting of a Change Notice or new agreement, it will be considered as your acceptance of the change. REFERRAL FEES You will receive a referral fee which shall be 20% (twenty per cent) of the total order value per sale of ecourses only which you have referred to the Site. For a sale to generate a referral fee to an Affiliate, the customer must complete the order form and remit full payment for the service ordered. Referrral fees are not payable on orders where the payment has been declined. A referral takes place when a customer subscribes to the Site as a result of being introduced to the Site by the Affiliate through a link via the Affiliate’s website or through advertising literature distributed by the Affiliate. The advertising literature will contain a code which must be produced by a customer when subscribing to the Site. Referral fees can only be earned between the acceptance of the Affiliate application and notice of termination. Fees will be paid by cheque in pounds sterling on a monthly basis when the referral fees due are equal to £30 (thirty pounds) or more. If any customer referred to the Site by the Affiliate cancels their ecourse within 10 (ten) days of commencement of the subscription, the customer shall receive a full refund of their subscription fee. Accordingly, the referral fee paid in relation to such ecourse shall be deducted from the next referral fee payment due to the Affiliate. If no referral fee payment is due the Affiliate shall be required to refund the referral fee paid upon submission of an invoice by the Site. In the event that the cancellation of the subscription by the customer occurs prior to the payment of the referral fee to the Affiliate, the Affiliate shall have no entitlement to receive any referral fee in relation to such referral. ABOUT LIABILITY We will not be liable for any loss of revenue, profits, data, indirect, special, consequential damages arising in connection with the agreement, even if we have been advised of the possibility of such damages or if such damages were reasonably foreseeable at the date of this agreement. Furthermore, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referrals paid or payable to you under this Agreement. ORDERS PROCESSING The Site will be solely responsible for processing every order placed by a customer by referral through the Affiliate sites. Customers who purchase products and services through the Affiliate Program will be deemed to be customers of www.doyourownpr.com and Divine and Content. Prices and availability of our products and services may vary from time to time and the Site policies will always determine the price paid by the customer. We reserve the right to reject any order that does not comply with our rules, operating procedures and policies. WEB SITE RESTRICTIONS The Site reserves the right not to accept any site into the Affiliate Program based on site content. Sites that Do Not Qualify for the Affiliate Program include sites such as sites that are: Promoting violence and discord, promoting discrimination based on, amongst other things, race, sex, religion, nationality, disability, sexual orientation, or age, promoting illegal or questionable activities, violating intellectual property rights, containing any content we deem to be offensive or inappropriate. SPAM We do not participate in mass unsolicited e-mailing (i.e. spamming), and all Affiliates are expected to adhere to this policy as well. Violation of this policy will result in the termination of this contract and immediate dismissal from the the Site Affiliate Program, with no refund. DISCLAIMER We make no express or implied warranties or representations with respect to the Affiliate Program or your potential to earn income from the SiteAffiliate Program. In addition, we make no representation that the operation of our site or the Affiliate Sites will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or down time. We make no representation regarding the compatibility of your computer when used to access our website. JURISDICTION This Agreement will be governed by the laws of England and Wales. Any action relating to this Agreement must be brought in the courts located in England and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. By submitting this Affiliate Agreement form, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee, or statement other than as set forth in this agreement. |
